End User License Agreement
Last updated: 10 September 2026
1. Agreement to Terms
AutoeTIMS ("the Service"), operated by Araali Limited ("we", "us", "our"), provides an automated bridge between your accounting software and the Kenya Revenue Authority (KRA) electronic Tax Invoice Management System (eTIMS), via authorised intermediaries. This End User License Agreement ("Agreement") governs your access to and use of the Service. By connecting your accounting software or otherwise using the Service, you agree to this Agreement. If you use the Service on behalf of an organisation, you represent that you are authorised to bind that organisation.
2. Licence Grant
Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, solely to prepare, classify, sign, and record tax invoices with KRA eTIMS through your connected accounting software.
3. The Service
Using your connected accounting software, the Service:
- reads invoice and item data from your accounting software
- classifies line items against KRA eTIMS product codes
- submits invoices to KRA for eTIMS signing via authorised intermediaries
- writes eTIMS confirmation details (invoice number, verification code, QR code) back to your accounting software
The Service depends on third-party systems, including KRA eTIMS, authorised intermediaries, and your accounting software provider. We are not responsible for the availability, accuracy, or outputs of those systems.
4. Your Responsibilities
- keep your account credentials and connected accounting software secure and confidential
- ensure the accuracy and completeness of the invoice data you process
- only connect accounting software you are authorised to access
- comply with applicable tax and other laws, including KRA requirements
5. Restrictions
You must not:
- copy, modify, distribute, sell, sublicense, rent, or lease any part of the Service
- reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent permitted by law
- use the Service in any way that is unlawful or infringes the rights of others
- interfere with or disrupt the integrity or performance of the Service
- access data belonging to other customers or organisations
6. Intellectual Property
The Service, including its software, design, and content (other than your data), is owned by Araali Limited and its licensors and is protected by applicable intellectual property laws. We reserve all rights not expressly granted in this Agreement. Your data remains yours, and you grant us only the rights needed to operate the Service as described in our Privacy Policy.
7. Data Protection
Our Privacy Policy explains what data the Service accesses and how it is used, stored, and protected. It forms part of this Agreement. We comply with the Kenya Data Protection Act, 2019.
8. Fees
Fees, if any, for use of the Service are set out in your separate agreement or subscription with us.
9. Disclaimer of Warranties
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that it will satisfy any particular tax, regulatory, or accounting outcome.
10. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill. Our aggregate liability arising out of or relating to this Agreement is limited to the amounts you paid for the Service in the twelve months preceding the claim.
11. Term and Termination
This Agreement applies while you use the Service. You may stop using the Service at any time and disconnect your accounting software through the portal or your accounting software settings. We may suspend or terminate access if you breach this Agreement, if required by law, or with reasonable notice. Sections on Intellectual Property, Disclaimer of Warranties, Limitation of Liability, and Governing Law survive termination.
12. Changes to this Agreement
We may update this Agreement from time to time. We will notify connected clients of material changes via email. Continued use of the Service after changes take effect constitutes acceptance of the updated Agreement.
13. Governing Law
This Agreement is governed by the laws of Kenya, and the courts of Kenya have exclusive jurisdiction over any disputes arising out of or in connection with it.
